Terms of Service & SaaS Agreement

1. Agreement to Terms:
By browsing, subscribing, entering an invite pass, or utilizing the P.O.P.S. (Parts Optimization & Pricing System) platform, you agree to be bound by these Terms. If you do not agree, you must immediately cease all access and utilization.
2. Subscription Tiers & Volume Quotas:
Indie Reseller Plan ($49/month): Flat monthly SaaS access. Strictly capped at $5,000.00 gross listing value per calendar month. Single-photo intake only. Commercial video shelf sweeping and studio white background segmentation are restricted to Tier 2.
Commercial Partner Tier (15% Consignment Rev-Share): $0 base monthly fee. Designed for high-volume operations, mechanics, and salvage yards. Includes unlimited listing volume, sub-0.5s Video Shelf Sweeper, GrabCut studio canvas, and junkyard VIN decoding. Take-rate is 15% of gross sales value.
3. No Chargebacks Without Prior Mediation:
Subscribers and commercial partners explicitly agree not to initiate unverified payment disputes, chargebacks, or claims with Stripe, banks, or credit card issuers without first exhausting the mandatory 6-month pre-litigation third-party mediation process outlined in Section 5.
4. Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POPONI INVESTMENTS LLC AND MASTER OPERATOR CHRIS POPONI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DEAD CAPITAL, OR EBAY ACCOUNT RESTRICTIONS. AGGREGATE LIABILITY SHALL NEVER EXCEED THE LESSER OF $100.00 OR PLATFORM FEES ACTUALLY PAID IN THE PRECEDING THREE (3) MONTHS.
P.O.P.S. features hands-free natural voice interaction, acoustic salvage yard dictation, and speech-to-text querying designed for mobile mechanics and warehouse operators.
1. Affirmative Wiretap & Two-Party Consent:
By tapping the microphone icon (), enabling audio permissions in your web browser, or speaking queries to P.O.P.S., YOU KNOWINGLY, VOLUNTARILY, AND AFFIRMATIVELY AUTHORIZE P.O.P.S. AND POPONI INVESTMENTS LLC TO LISTEN TO, RECORD, BUFFER, DIGITIZE, TRANSCRIBE, AND ANALYZE YOUR SPOKEN VOICE, AMBIENT AUDIO, AND ACOUSTIC UTTERANCES.
This express authorization serves as your full written consent under all federal and state wiretap, eavesdropping, and two-party consent statutes, including but not limited to California (Cal. Penal Code § 632), Illinois (720 ILCS 5/14-2), Florida (Fla. Stat. § 934.03), Pennsylvania (18 Pa.C.S. § 5704), and Massachusetts (Mass. Gen. Laws ch. 272, § 99).
2. Transient Audio Purpose & No Biometric Profiling:
Voice audio captured through the microphone is used strictly and transiently to generate text tokens for querying vehicle fitment, parts databases, and eBay market comps. P.O.P.S. does not sell your voice recordings, does not generate biometric voiceprints, and does not conduct unauthorized surveillance.
3. Opt-Out via Text Input:
Audio voice input is 100% optional. If you do not wish to be recorded or authorize audio processing, simply do not click the microphone icon. The full platform, VIN reader, comps engine, and CSV export operate with complete fidelity via standard keyboard text input.
IN THE EVENT ANY DISPUTE, CLAIM, CONTROVERSY, BREACH, OR LITIGATION BECOMES NECESSARY ARISING OUT OF OR RELATING TO THIS PLATFORM, AUTOMOTIVE VALUATIONS, REVENUE SPLITS, COMMISSIONS, STRIPE CHARGES, OR INVENTORY TRANSACTIONS, NO LAWSUIT, LITIGATION, ARBITRATION FILING, OR COURT ACTION MAY BE COMMENCED UNLESS AND UNTIL THE PARTIES HAVE ENGAGED IN ACTIVE, GOOD-FAITH NEGOTIATIONS AND FORMAL MEDIATION FACILITATED BY A MUTUALLY AGREED-UPON INDEPENDENT THIRD-PARTY MEDIATOR FOR A STRICT MANDATORY PERIOD OF NOT LESS THAN SIX (6) FULL MONTHS (180 CONSECUTIVE CALENDAR DAYS).
Step 1 — Formal Written Notice: The claimant must deliver a comprehensive written Notice of Dispute specifying the detailed facts, legal basis, and calculated monetary demand to Chris Poponi ([email protected]).
Step 2 — Executive Direct Negotiation (Days 1 to 30): For the first 30 days following receipt of notice, the parties shall conduct direct executive negotiations to achieve an amicable business resolution.
Step 3 — Third-Party Neutral Mediation (Days 31 to 180): If unresolved after 30 days, the parties MUST submit the dispute to formal mediation before a qualified, neutral third-party mediator from the American Arbitration Association (AAA), JAMS, or another recognized alternative dispute resolution body agreed upon in writing. Mediation sessions must continue for the remainder of the 180-day window.
Immediate Dismissal of Premature Litigation: Any lawsuit, arbitration claim, or judicial action initiated prior to the full expiration of the 180-day third-party mediation period shall be considered legally premature and void, subject to immediate dismissal with prejudice. The breaching party shall be required to reimburse all legal fees, mediator retainers, and court expenses incurred by the defending party.
Class Action Waiver & Governing Law:
All dispute proceedings must be conducted on an individual basis. Class action claims, consolidated actions, and private attorney general suits are waived to the fullest extent permitted by law. Governing law shall be the laws of the State of Illinois, without regard to conflicts of law provisions.
P.O.P.S. uses computer vision, optical character recognition (OCR), NHTSA database lookups, and marketplace scrapers to generate suggested fitments, Year-Make-Model titles, and sold pricing comps. These estimations are informational tools to assist reseller speed, NOT certified engineering verifications.
The user/reseller maintains 100% final authority and responsibility for the physical safety, mechanical bench testing, cleaning, and cataloging of each part before publishing listings. The Owner Approval Gate exists specifically so that human judgment reviews every draft, price, and shipping weight before it is exported.
3. Critical Safety Components Disclaimer:
Reselling supplemental restraint systems (airbags, seatbelt pretensioners), braking assemblies, steering gearboxes, and suspension structural members carries inherent safety risks. The reseller is solely responsible for complying with all applicable federal, state, and marketplace safety guidelines (including eBay Motors Airbag and Hazardous Material Policies). P.O.P.S. assumes zero liability for downstream vehicular accidents, improper installation, or mechanical failures.
Privacy Policy & Data Hygiene
1. Information We Collect:
Account Credentials: Email addresses and billing IDs necessary for Stripe subscriptions or invite pass verification.
Inventory Imagery & Video: Uploaded part photos and teardown videos. Standardized to 1200px WebP files; transient video frames are automatically purged after 7 days.
Acoustic Utterances: Transcribed live in browser memory for command fulfillment; never aggregated into permanent audio voice profiles.
2. We Never Sell Your Data:
P.O.P.S. and Poponi Investments LLC do not sell, rent, or monetize your inventory records, comps inquiries, or contact information to data brokers or advertising networks.
